Welcome to OLIGNE ("Platform," "we," "our," or "us"). By accessing or using our B2B marketplace website and services, you agree to comply with and be bound by these Terms of Service ("Terms"). Please read these Terms carefully.
1. Scope of Services & Our Role
OLIGNE is a B2B garment matchmaking marketplace connecting buyers (retailers, wholesalers) with sellers (manufacturers, trading suppliers).
2. Terms Specific to BUYERS
A. Account Eligibility
To submit RFQs, follow sellers, and chat with merchants, you must represent a valid business enterprise (retailer, wholesaler, reseller, or trader).
B. RFQ Authenticity
All Request for Quotation (RFQ) inquiries submitted must be legitimate. Submitting fake, spam, or retail test RFQs is strictly prohibited and will lead to buyer account suspension.
C. Direct Supplier Negotiations
Buyers are solely responsible for conducting their own due diligence, quality inspections, and negotiating wholesale trade terms with sellers before making offline payments.
3. Terms Specific to SELLERS
A. Business Verification (KYC)
Sellers must undergo KYC checks by providing true business details (GSTIN/PAN, shop registration, address proof). OLIGNE reserves the right to approve or reject any seller application without liability.
B. Listing & Content Standards
Sellers must ensure their catalog listings, slab prices, and wholesale descriptions are accurate and non-misleading. Product listings must belong to the apparel, garment, and textile categories.
C. Subscription Plans
Sellers agree to abide by the rules of their active subscription tier (product quotas, lead display limits). All subscription transaction fees paid are non-refundable.
4. Terms for CUSTOM ORDERS (OEM/ODM/Private Label)
OLIGNE offers a Custom Order service for buyers seeking OEM manufacturing, ODM production, blank/unbranded garments, or private label solutions. By submitting a custom order, you agree to the following terms:
A. Order Types & Scope
Custom orders cover OEM (buyer's design, our production), ODM (our design, buyer's brand), blank/unbranded garments, private label branding, and sample requests. All custom orders are handled directly by OLIGNE's admin team — these are NOT routed to individual marketplace sellers.
B. Payment Terms
50% advance payment is required before sample production begins. The remaining 50% is payable after the product has been shipped. Payment methods and banking details will be communicated by our executive during the consultation phase.
C. Sample Production & Approval
Samples are produced after confirmed order and advance payment. Once sample production starts, the order cannot be cancelled. Buyers may request minor design adjustments and quality checks upon receiving the sample. Major design overhauls after sample production may incur additional charges.
D. Bulk Order Commitment
After sample approval, the buyer commits to the agreed bulk quantity. Cancellation after sample approval is not permitted. Bulk production timelines (lead times) are estimates and may vary based on order complexity, fabric availability, and manufacturing capacity.
E. Design Confidentiality
All design files, logos, technical specifications, and proprietary materials uploaded by buyers are treated as confidential. OLIGNE will not share, reproduce, or distribute buyer designs to any third party without explicit written consent.
F. File Upload Guidelines
Buyers may upload up to 5 reference files (max 10MB each) including images, PDFs, and documents. Uploaded files must be relevant to the order (logos, design references, tech packs). Inappropriate, offensive, or malicious files will result in order rejection and potential account suspension.
G. Pricing & Quotations
Price ranges displayed on sample catalog products are approximate and indicative only. Final pricing is determined during consultation based on fabric, quantity, customization complexity, and delivery requirements. Quoted prices are valid for 15 days from the date of quotation unless stated otherwise.
H. Minimum Order Quantity (MOQ)
Custom orders are subject to minimum order quantities (typically 50 pieces or as specified per product). MOQ may vary depending on the garment type, fabric, and customization requirements.
5. Limitation of Liability & Governing Law
OLIGNE is not liable for any financial losses, quality defects, shipment delays, payment frauds, or transaction disputes arising from offline business contracts between buyers and sellers.
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of the use of this Platform shall be subject to the exclusive jurisdiction of the competent courts in Kolkata, West Bengal.
